Our talented people empower us, and we believe in being part of a team that is open, collaborative, entrepreneurial, passionate and above all fun.About the roleAs a Senior Corporate Governance Paralegal, you will provide confidential paralegal and administrative functions to the Corporate Secretary, Chief Legal Officer, and senior management legal executives; produce and manage a variety of corporate governance documents; manage legal documentation, including corporate organizational documents such as corporate charters, bylaws and meeting minutes; set up and maintain office filing systems for transactions and companies; foster business development through service excellence.What you will be doing--- Work under the direction of the Corporate Secretary and Chief Legal Officer to manage and assist with corporate governance matters, such as creating and managing certificates of incorporation, certificates of formation and other organizational documents, as well as bylaws and minutes for operating corporate entities.--- Maintain corporate records and assist with the preparation of certifications and other legal materials relating to corporations and other corporate entities; assist with preparing and coordinating diligence materials; administering the distribution of legal documents and materials.--- Provide support for other activities of the Corporate Secretary including securities and public company filings and other required filings.--- The position interacts frequently with members of the company's executive leadership team.--- Make high-level contacts of a sensitive, complex and highly confidential nature inside and outside the company.--- Work on problems of diverse scope where analysis of data requires evaluation of identifiable factors, use of initiative and independent judgment.--- Exercise judgment within generally defined practices and policies in selecting methods and techniques for obtaining solutions.--- Edits typed material for grammar, punctuation, clarity and sentence structure.--- Distributes typed material to appropriate parties, e.g., executives, clients, attorneys, etc. and revises as directed.--- Composes memos and correspondence from brief verbal instructions.What you bring --- Bachelor's degree or equivalent combination of education, training, or work experience (paralegal and/or ICSA certification preferred).--- 4 or more years of work experience in a legal or regulatory environment requiring research and preparation of documentation, reports and summaries. - - ---- Knowledge of document preparation, particularly corporate organizational documents such as certificates of formation and corporate charters, bylaws and minutes--- Knowledge of Microsoft Office and legal software applications--- Knowledge of legal and/or regulatory research techniques and tools--- Understanding of technical legal terminology--- Ability to write legal/regulatory documents, summaries and other correspondence--- Excellent verbal and written communication skills--- Ability to maintain confidentiality and carry out assignments that are sensitive in nature--- Effective time management skillsWhat we offer youAt FIS, you can learn, grow and make an impact in your career.
